GENERAL PRINCIPLES

Please read the terms below in order to use the website www.torthermal.com. By visiting and/or registering as a member on www.torthermal.com.tr (hereinafter referred to as the “Site”), you acknowledge and agree that you have read, understood, and fully accepted the “Terms of Use,” and you agree that you will not raise any objections or defenses regarding any matters outlined in these Terms of Use or that will be included on the Site over time. If you do not accept these terms, please refrain from using the Site.

1.1. The owner of this Site is Nihal İnşaat A.Ş. and Tor Global İnşaat ve Yatırım A.Ş. Joint Venture, located at Zafer Mah. Adile Naşit Bul. Aris Grand Tower Blok No: 30-32R Esenyurt/Istanbul (hereinafter referred to as "TOR GLOBAL"). The services provided on the Site, as described in Article 3 of these “Terms of Use,” are offered by “TOR GLOBAL.”

1.2. "TOR GLOBAL" may change these “Terms of Use,” the information and “Content” on the Site, at any time, without any prior notice. These changes will be published periodically on the Site and will be effective as of the date of publication. Any real or legal person who benefits from the Site’s services, whether free of charge or by paying a fee, or who accesses the Site in any way, will be considered to have accepted these Terms of Use and any changes made by "TOR GLOBAL." The "Terms of Use" are made accessible to every real or legal person using the Site.

DEFINITIONS

“Site”: The website www.torthermal.com.tr and its subdomains, where "TOR GLOBAL" offers its “Services.”

“User”: Any real or legal person who accesses the “Site.”

“TOR GLOBAL Services” (“Services”): The applications offered by “TOR GLOBAL” within the Site, to enable Users to perform transactions as defined in this agreement. “TOR GLOBAL” may make changes and/or adaptations to the “Services” offered within the Site at any time. The rules and conditions that the User must comply with regarding these changes will be announced on the Site and will be valid as of the date of publication.

“Content”: Any type of information, text, file, image, video, numbers, etc. that is published and accessible on the Site, including visual, written, and auditory images.

“TOR GLOBAL Panel”: A computer program used by Users to view content created by TOR GLOBAL, to query the “TOR GLOBAL Database,” and to perform all types of operations on the Site, under the protection of the Law on Intellectual and Artistic Works No. 5846.

“TOR GLOBAL Database”: A database owned by “TOR GLOBAL” in which the content accessed within the Site is stored, classified, queried, and accessed, protected under the Law on Intellectual and Artistic Works No. 5846.

TOR GLOBAL SERVICES

“TOR GLOBAL” reserves the right to add new services to the Site, change the scope and conditions under which existing services are offered, change or remove the content accessed through the Site, and close it to third-party access at any time, without prior notice.

CONDITIONS AND OBLIGATIONS OF SITE USE

4.1. Users may only perform legal transactions on the Site. The legal and criminal responsibility for any transactions and actions carried out by the User on the Site will belong to the User, and “TOR GLOBAL” accepts no liability for any legal or criminal obligations in relation to these actions.

4.2. “TOR GLOBAL” does not guarantee the accuracy, reality, security, or legality of any content viewed by the User on the Site. The User acknowledges that “TOR GLOBAL” has no liability for any damages arising from the content, and that “TOR GLOBAL” will not be liable for any compensation claims.

4.3. The User agrees and undertakes not to copy, distribute, process, or use any images, texts, visual and auditory images, video clips, files, databases, catalogs, or lists on the Site for commercial purposes or to create a database, record, or directory for personal or third-party use without permission.

4.4. The User agrees and undertakes not to engage in activities that would lead to unfair competition on the Site, nor to perform acts that would harm the personal or commercial reputation of “TOR GLOBAL” or third parties, or violate personal rights, intellectual property rights, or other legal rights.

4.5. Users are only permitted to use the information accessed on the Site for the purpose intended by “TOR GLOBAL” and may only view the content for non-commercial purposes.

4.6. In compliance with Law No. 5651 and related legislation, “TOR GLOBAL” may store and retain records of transactions made by Users on the Site within the legal timeframe.

4.7. “TOR GLOBAL” may use User information for promotional and informational communications, marketing activities, and statistical analyses. It may also use information such as the User’s IP address, the parts of the Site visited, domain type, browser type, date, and time for statistical evaluation, personalized services, and offers.

4.8. “TOR GLOBAL” may use cookies to track the User’s behavior on the Site for online behavioral advertising and marketing purposes, and based on metrics such as the number of pages viewed, duration of visit, and completion of objectives, may create remarketing lists and send personalized messages, offers, and recommendations to the User.

4.9. Access to the database where the Site’s content is stored is only permitted for viewing the relevant content, and third parties may only access the database in accordance with the legal terms outlined in “TOR GLOBAL’s” Terms of Use.

4.10. The use of the Site or any part of it for the purpose of modification, reverse engineering, interfering with communication systems, or accessing the Site in ways not permitted by the Terms of Use is prohibited and illegal. “TOR GLOBAL” reserves the right to take legal action against such use and to report the User to the relevant authorities.

4.11. “TOR GLOBAL” cannot be held responsible for any direct or indirect damages arising from service interruptions, information transmission errors, delays, or data loss on the Site.

INTELLECTUAL PROPERTY RIGHTS

The content accessed on the Site, including but not limited to the "TOR GLOBAL Database," "TOR GLOBAL Interface," design, text, images, HTML code, and other codes, is owned by “TOR GLOBAL” and is protected under the Law on Intellectual and Artistic Works No. 5846. Users are not permitted to resell, process, copy, share, distribute, display, or allow others to access “TOR GLOBAL” services, information, or copyrighted works without explicit permission.

CHANGES TO THE TERMS OF USE

“TOR GLOBAL” may change these “Terms of Use” at any time by publishing them on the Site. The updated provisions of the “Terms of Use” will be effective from the date of their publication.

FORCE MAJEURE

“TOR GLOBAL” will not be liable for any delay, partial performance, or failure to perform due to force majeure, such as natural disasters, war, fire, strike, rebellion, bad weather conditions, system malfunctions, or other events outside its reasonable control.

APPLICABLE LAW AND JURISDICTION

Turkish Law will apply to the interpretation and enforcement of these “Terms of Use.” In the event of any dispute, the Courts and Enforcement Offices of Istanbul (Çağlayan) will have jurisdiction.

EFFECTIVENESS AND ACCEPTANCE

These “Terms of Use” will be effective as of the date they are published by “TOR GLOBAL” on the Site. By using the Site, Users accept the “Terms of Use” in their entirety.
